As we enter the final quarter of 2025, the M&A market is showing signs of cautious optimism. After a quieter 2024 – shaped by political transitions, inflationary pressures, and interest rate volatility – activity is gradually picking up.

The year began with a slowdown in deal activity following Labour’s first budget, which introduced changes to Business Asset Disposal Relief and national insurance. However, confidence began to return mid-year as businesses adapted to the new landscape. Private equity firms are re-engaging with the market, particularly through bolt-on acquisitions and buy-and-build strategies across sectors such as tech, healthcare, professional services, and software.

Advised original founders on the reacquisition of Manchester retail tech business One iota, to lead and invest in the business accelerating and expanding its digital retail capabilities.

2. Healthcare Management Trust (HMT)

Advised HMT, a registered charity delivering not for profit health and social care, on the acquisition of the issued share capital of St Quentin Residential Home Limited

15. Linc Cymru Housing Association

Advised the housing association on the sale of Capel Grange Care Home in Newport, the latest in a series of care home deals, as part of a strategic divestment of the housing association’s care portfolio.

16. Fleetwood ES Holdings

Advising Fleetwood E S Holdings on the acquisition of the entire issued share capital of Pegasus Waste Management Limited, aiding part of their strategy to acquire added-value operators with strong growth potential.
