Clarke Willmott has advised on the Management Buy Out (MBO) at award-winning promotional merchandise business Total Merchandise.

Based in Colchester in Essex, Total Merchandise Ltd. was established in 2004 and is one of the UK’s leading suppliers of promotional products and branded merchandise, with over 10,000 product lines.

The MBO will allow for the retirement of two of the founder directors and provide a platform for the business to move forward with its future growth plans under managing director Jason O’Connor.

The Clarke Willmott team that worked on the deal was led by corporate partner Richard Swain, who advised on all corporate aspects supported by Bethan Evans, banking and finance partner, who led on the financing and funding aspects.

Meanwhile James Cooper (partner), Matt Field (tax director) and Cameron Robertson (executive) of FRP Corporate Finance provided corporate finance advice throughout the transaction. The deal was supported by a new term debt facility provided by Lloyds Bank.
